1. About this Agreement
This End-User Agreement ("Agreement") applies when you use financial services made available through Fundsverse.
Fundsverse is operated by Kyvaro Limited ("Kyvaro", "Fundsverse", "we", "us", or "our").
This Agreement supplements our Terms of Service and Privacy Policy. If there is a conflict between this Agreement and the general Terms of Service specifically relating to a financial service, this Agreement will apply to that financial service to the extent of the conflict.
2. Financial services available through Fundsverse
Depending on your eligibility and the services available to you, Fundsverse may provide access to financial functionality including:
- an in-app wallet;
- deposits into your wallet;
- withdrawals from your wallet to your bank account;
- transfers;
- bill payments;
- bulk transfers; and
- other financial services that may be introduced in the future.
Not every financial service is available to every user, country, account, or transaction type.
3. Financial infrastructure providers
Certain financial services available through Fundsverse are enabled through Anchor Software Ltd ("Anchor") and relevant banking or financial institution partners.
Anchor provides financial technology infrastructure and APIs used by Kyvaro to enable certain services within Fundsverse. Relevant financial institutions and other infrastructure providers may also participate in the delivery or processing of particular services.
Fundsverse is the platform through which you access these services. The underlying financial institution, payment network, infrastructure provider, or other third party may have additional rules or requirements that apply to a particular transaction or service.
4. Nigeria and financial-service eligibility
Fundsverse may allow account registration from countries outside Nigeria. However, financial services currently available through Fundsverse are limited to eligible users in Nigeria.
Users outside Nigeria may be able to access non-financial Fundsverse functionality but will not receive Nigerian wallet, KYC, payment, transfer, or other financial-service functionality unless we expressly make such services available to them.
We may change geographic availability where required by law, regulation, risk controls, financial infrastructure requirements, or business considerations.
5. Eligibility for financial services
Creating a Fundsverse account does not automatically make you eligible for financial services.
To access financial services, you must satisfy the applicable eligibility, identity verification, KYC, compliance, security, and other requirements.
We may impose additional requirements or restrictions based on your circumstances, transaction activity, location, risk profile, or applicable legal or regulatory requirements.
Your use of Fundsverse financial services may require Fundsverse and relevant financial-service providers to collect and process personal information for purposes including identity verification, customer onboarding, fraud prevention, transaction processing, security, and regulatory compliance.
Our processing of personal information is described in the Fundsverse Privacy Policy. Where a financial-service provider processes information under its own legal obligations or privacy terms, those requirements may also apply.
6. Identity verification and KYC
Before you can access certain financial services, including the Fundsverse wallet, you may be required to complete identity verification and KYC procedures.
This may require information including your full name, date of birth, BVN, identity information, contact information, and other information required to establish and verify your identity.
Information required for financial-service onboarding may be transmitted to Anchor and relevant financial institution or verification partners for customer creation, wallet creation, identity verification, compliance, fraud prevention, and related purposes.
We may compare information you provide with information obtained from authorised verification sources to help establish that the information relates to you.
Providing inaccurate, incomplete, misleading, or fraudulent information may result in refusal, restriction, suspension, or termination of financial services.
7. Customer and wallet creation
Where you successfully complete the required onboarding and verification processes, a financial-service customer profile and wallet may be created through the financial infrastructure supporting Fundsverse.
Wallet availability is subject to successful onboarding, verification, applicable compliance requirements, and the continued availability of the relevant financial infrastructure.
Your Fundsverse account and your financial-service wallet are related but are not necessarily the same technical account or system.
8. Your wallet
Where available, your Fundsverse wallet allows you to use the financial services made available through the platform.
You may only use a wallet assigned to you and must not permit another person to use your wallet or credentials.
You must not use your wallet to hold, transfer, receive, or process funds on behalf of another person where doing so is inconsistent with the purpose of the service or applicable law.
We may apply transaction limits, balance limits, velocity controls, security controls, or other restrictions to wallet activity.
9. Deposits
Where deposits are available, you may fund your wallet using the supported deposit methods displayed within Fundsverse.
Deposit availability, processing time, limits, fees, and settlement may depend on the relevant payment method, financial institution, payment network, infrastructure provider, and applicable requirements.
We may delay or restrict a deposit where necessary to investigate suspicious activity, comply with legal or regulatory requirements, address a technical issue, or protect the Fundsverse ecosystem.
10. Withdrawals
Where withdrawals are available, you may withdraw eligible wallet funds to a supported bank account belonging to you.
You are responsible for providing accurate bank-account and beneficiary information.
We may restrict withdrawals to accounts that satisfy applicable ownership, verification, risk, or compliance requirements.
Withdrawal processing times may vary depending on the relevant financial institution, payment network, infrastructure provider, and other circumstances outside our direct control.
11. Transfers
Where transfer functionality is available, you may initiate supported transfers through Fundsverse.
You must carefully review the recipient's details, amount, account information, and other transaction details before confirming a transfer.
We are not responsible for losses resulting from incorrect recipient or transaction information supplied or confirmed by you, except where applicable law provides otherwise.
A transfer may be delayed, rejected, suspended, reversed, or investigated where required by law, applicable financial-institution rules, fraud controls, sanctions controls, payment-network rules, or technical circumstances.
12. Bill payments
Where bill-payment functionality is available, Fundsverse may allow you to purchase or pay for supported services or bills through participating providers.
You are responsible for confirming the biller, customer reference, account or meter number, amount, and other relevant details before confirming payment.
Completion, reversal, refund, or correction of a bill payment may depend on the relevant biller, payment provider, financial institution, or infrastructure provider.
13. Bulk transfers
Where bulk-transfer functionality is available, you may submit multiple supported payment instructions through Fundsverse.
You are responsible for ensuring that all recipient information, amounts, references, and instructions included in a bulk-transfer submission are accurate and authorised by you.
We may apply additional verification, transaction limits, approval requirements, or risk controls to bulk transfers.
14. Transaction confirmation
You should review all transaction information carefully before confirming a transaction.
A transaction may be considered authorised when you complete the applicable confirmation or authentication process within Fundsverse.
Depending on the transaction, additional authentication or verification may be required.
If you believe a transaction was unauthorised, contact Fundsverse as soon as possible through our support channels.
15. Failed, pending, reversed, or delayed transactions
A transaction may appear as pending while it is being processed.
A transaction may fail, be rejected, reversed, or remain pending because of technical issues, insufficient funds, incorrect information, recipient-bank issues, payment-network conditions, financial-institution controls, compliance checks, fraud controls, or other circumstances.
Where a transaction fails or is reversed, we will take reasonable steps to reflect the resulting status or balance adjustment within Fundsverse, subject to the information and settlement provided by the relevant financial infrastructure.
16. Transaction disputes
If you believe a transaction is incorrect, unauthorised, duplicated, or otherwise problematic, you should notify us promptly.
We may request information or documentation reasonably necessary to investigate the issue.
Investigation and resolution may require us to communicate with Anchor, financial institutions, payment networks, billers, recipients, or other relevant service providers.
Some disputes may be subject to investigation or resolution processes established by the relevant financial institution or payment network.
17. Fraud, suspicious activity and financial crime controls
We may monitor financial-service activity for fraud, money laundering, terrorist financing, sanctions, identity theft, account takeover, and other prohibited or suspicious activity.
Where appropriate or required, we may restrict transactions, request additional information, suspend access, report activity to relevant authorities or service providers, or take other measures permitted or required by law.
We may not always be able to provide details about particular monitoring, investigation, or reporting measures where doing so could compromise security, an investigation, or a legal or regulatory obligation.
18. Prohibited financial activity
You must not use Fundsverse financial services for unlawful, fraudulent, deceptive, or prohibited activities.
This includes using Fundsverse to facilitate money laundering, terrorist financing, sanctions evasion, fraud, identity theft, unauthorised financial activity, or transactions involving unlawful goods or services.
You must not use Fundsverse as a means of concealing the source, destination, ownership, or beneficial ownership of funds.
19. Source and ownership of funds
You represent that funds you deposit, receive, transfer, or otherwise use through Fundsverse are lawfully obtained and that you have the right to use them.
You must not knowingly use your account to receive or transfer funds that belong to another person for the purpose of concealing their ownership or source.
We may request information about the source or purpose of funds where reasonably necessary for compliance, fraud prevention, or investigation.
20. Account security
You are responsible for protecting your Fundsverse login credentials, authentication methods, devices, and other security information.
You must not share authentication codes, passwords, PINs, or other security credentials with another person.
If you believe that your account, device, credentials, or wallet has been compromised, you must notify us promptly.
21. Financial-service restrictions
We may place temporary or permanent restrictions on financial services where reasonably necessary to:
- protect your account or funds;
- prevent fraud or financial crime;
- complete verification or compliance checks;
- comply with a legal, regulatory, court, or law-enforcement requirement;
- respond to a request or action by a financial institution, payment network, infrastructure provider, or regulator;
- investigate suspicious or disputed activity;
- address a security or technical incident; or
- manage material operational or financial risk.
22. Third-party financial infrastructure
Financial services available through Fundsverse may depend on infrastructure outside our direct control.
Anchor, financial institutions, payment networks, billers, banks, verification providers, and other service providers may impose requirements, limits, processing times, availability restrictions, or other conditions.
We will work to provide a reliable experience, but we cannot guarantee that every third-party financial service will always be available or operate without interruption.
23. No bank-account linking
Fundsverse does not currently provide automatic external bank-account linking or bank-account synchronisation as part of its financial services.
Where you record external accounts or financial information in Fundsverse, that information may be entered and maintained manually by you.
You are responsible for keeping manually entered financial information accurate and up to date.
24. Financial information is not a transaction record
Information you manually enter about external accounts, balances, income, expenses, savings, investments, or other financial activity is intended to help you manage your financial picture within Fundsverse.
Unless expressly stated otherwise, manually entered information does not constitute an independent verification of the underlying external account or transaction.
25. Fees
Fees may apply to particular financial services or transactions.
Where applicable, the relevant fee will be presented to you before you confirm the transaction, subject to circumstances where the exact fee cannot reasonably be determined until processing.
Financial institutions, payment networks, billers, or other third-party providers may also apply charges in accordance with their applicable terms.
26. Changes to financial services
We may introduce new financial services or modify, restrict, suspend, or discontinue existing services.
Changes may be necessary because of regulatory requirements, financial-infrastructure changes, provider decisions, security concerns, operational requirements, or changes to our business.
Where required, we will provide notice or obtain additional acceptance before material changes take effect.
27. Suspension or closure of financial services
We may suspend or terminate your access to financial services in accordance with our Terms of Service, this Agreement, applicable law, or the requirements of relevant financial-service providers.
If financial services are suspended or terminated, we may take reasonable steps to complete, settle, reverse, or otherwise resolve outstanding transactions and eligible balances.
Certain records may need to be retained after your account or financial services are closed because of legal, regulatory, fraud prevention, accounting, or other legitimate requirements.
28. Death, incapacity, or legal authority
If we receive credible information that an account holder has died, become legally incapacitated, or is subject to a legal restriction affecting the account, we may restrict access while we establish the appropriate legal authority and follow applicable procedures.
We may require appropriate documentation before releasing information or funds to a person claiming authority to act for an account holder.
29. Your responsibility for transaction instructions
You are responsible for transaction instructions submitted through your account and for ensuring that you have authority to initiate those transactions.
You must not submit transaction instructions that are fraudulent, misleading, unlawful, unauthorised, or intended to circumvent applicable controls.
30. Liability relating to financial services
We will take reasonable steps to provide financial services in accordance with applicable requirements and these agreements.
However, financial transactions may depend on third-party infrastructure, financial institutions, payment networks, billers, and other providers.
To the maximum extent permitted by applicable law, we are not responsible for losses caused solely by circumstances outside our reasonable control, including independent failures of third-party infrastructure.
Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.
31. Relationship with the Terms of Service
Your use of Fundsverse remains subject to the Fundsverse Terms of Service.
The Terms of Service govern matters including your general account, acceptable use, intellectual property, service availability, termination, communications, and general legal relationship with Fundsverse.
This Agreement provides additional terms specifically applicable to financial services.
32. Relationship with the Privacy Policy
Financial services require the processing of personal and financial information for purposes including onboarding, identity verification, KYC, transaction processing, fraud prevention, security, compliance, dispute resolution, and legal obligations.
Our Privacy Policy explains how we process personal information and the rights and choices available to you.
33. Changes to this Agreement
We may update this Agreement where reasonably necessary to reflect changes to financial services, financial infrastructure, legal or regulatory requirements, security measures, or our business.
Each version will have an effective date and version identifier.
Where required, we will notify you of material changes and may require you to accept an updated version before continuing to use affected financial services.
34. Governing law
This Agreement is governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections applicable to you under applicable law.
35. Complaints and support
If you have a complaint, transaction issue, or question relating to financial services available through Fundsverse, contact Fundsverse through our official support channels.
We may coordinate with Anchor, relevant financial institutions, payment networks, billers, or other providers when necessary to investigate and resolve your issue.
36. Acceptance
By activating or using financial services through Fundsverse, you acknowledge that you have read and agreed to this End-User Agreement, together with the Fundsverse Terms of Service and Privacy Policy.
Where applicable, we may require you to provide an explicit acknowledgement or acceptance before financial services are activated.
